Osaze Terms of Use

Welcome to Osaze. These Terms of Use (“Terms”) govern your use of https://www.osaze.marketing (the “Site”) and any services, memberships, content, or tools we provide (collectively, the “Services”).

By accessing or using the Site or Services, creating an account, or becoming a member, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, please do not use the Site or Services.

“Osaze”, “we”, “us”, or “our” means Osaze Corp. d/b/a Osaze Marketing. “You” or “your” means the individual user or the organization you represent.

1. Who We Are and What We Do

Osaze is a creative studio and online presence partner. Through the Site and our Services, we provide:

Information and resources related to branding, websites, and online presence

Membership and community features (free and paid “Osaze+”)

Client portal access and support for hosted websites

Design, development, consulting, training, and related services under separate agreements

Some parts of the Site are publicly accessible; others require a member account.

2. Eligibility and Accounts

To use certain features, you may need to create an account.

You must be at least 18 years old (or the age of majority in your location) to create an account or use paid Services.

You agree to provide accurate, current information and to keep it updated.

You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.

If you believe your account has been compromised, contact us immediately at contact@osaze.marketing.

We reserve the right to refuse, suspend, or terminate any account that violates these Terms or that we reasonably believe may cause harm.

3. Membership: Free and Osaze+

We currently offer:

A free member account may allow you to:

Access current Osaze magazines and selected resources

Submit events, blog posts, or content for consideration

View featured brands, community highlights, and the Spotlight Wall

Request ad space or sponsorship opportunities

Access host support information and certain help materials

We may change which features are included in free membership from time to time.

3.2 Osaze+ (Paid Membership)

Osaze+ is a paid membership tier that offers additional benefits, which may include:

Access to +Archives (past magazines, videos, training materials, event content)

Periodic updates and briefings on marketing and online‑presence topics

Member‑only tools, templates, or discounts

Future access to Osaze AI or similar tools, when available

Specific inclusions and pricing are described on the Site and may change over time. We will make reasonable efforts to notify active Osaze+ members of material changes.

4. Payments, Renewals, and Cancellations

4.1 Payments

Fees for Osaze+, hosting, or other paid Services will be clearly stated at the time of purchase.

Payments are typically processed via third‑party providers such as PayPal or similar services. We do not store full credit card details on our servers.

By submitting payment information, you authorize us (and our payment processors) to charge the applicable fees.

4.2 Renewals

Some Services (such as Osaze+ or hosting plans) may renew automatically at the end of each billing period (e.g., monthly or annually), unless you cancel before the renewal date.

You can usually manage your subscription or request changes by contacting us at contact@osaze.marketing or by using available account settings.

4.3 Cancellations and Refunds

You may cancel future renewals of Osaze+ or other recurring Services at any time, but cancellation will generally take effect at the end of your current billing period.

Unless otherwise stated or required by law, fees already paid are non‑refundable.

For custom client projects, separate written agreements or proposals may specify payment schedules, milestones, and refund terms; those documents will control.

5. Client Services and Projects

Osaze may provide design, development, consulting, training, hosting, and related services under separate proposals, quotes, or service agreements (“Project Agreements”). If there is a conflict between these Terms and a signed Project Agreement, the Project Agreement will usually control for that specific project.

Unless otherwise agreed:

Project deliverables are provided for your internal business use.

Osaze retains the right to display non‑confidential aspects of completed work in our portfolio, showcase, or case studies, with your consent where appropriate.

6. User Content and Community Submissions

The Site includes areas where you may submit or share content, such as:

Event listings

Blog posts or articles

Directory entries

Spotlight Wall or featured brand submissions

Comments or feedback

Collectively, this is “User Content.”

By submitting User Content, you:

Represent and warrant that:

You have the right and authority to submit the content.

Your content does not infringe any third‑party rights, violate any law, or contain unlawful, defamatory, or abusive material.

Grant Osaze a non‑exclusive, worldwide, royalty‑free license to use, display, reproduce, modify (for formatting or editorial clarity), and distribute that content in connection with the Site, our Services, and our marketing (for example, featuring your story on the blog, in case studies, or on social media), subject to any specific written agreement we may have with you.

We reserve the right, but are not obligated, to:

Review, edit, or refuse to publish any User Content; and

Remove User Content that we believe violates these Terms or could harm our users or reputation.

If you would like us to edit or remove content you previously submitted, contact us and we will consider your request in good faith.

7. Use of Osaze AI and Similar Tools

If and when Osaze AI or similar tools are available:

They are provided for informational and educational purposes only.

You should not submit highly sensitive personal data (such as financial account numbers, health information, social security numbers, or similar) into these tools.

Osaze AI responses are generated outputs and may not always be accurate, complete, or appropriate for your specific situation. You are responsible for verifying critical information and decisions.

We may log prompts and responses for quality, troubleshooting, and improvement of the tool, in accordance with our Privacy Policy.

8. Intellectual Property

Unless otherwise stated:

All content on the Site and within our Services—including text, graphics, logos, icons, images, videos, layouts, and software—is owned by or licensed to Osaze and is protected by copyright, trademark, and other laws.

You may view and use the Site for your personal or internal business purposes, but you may not copy, reproduce, modify, distribute, or create derivative works from our content without our prior written consent, except as permitted by law.

You may not use the Osaze name, logo, or branding in a way that suggests endorsement or partnership without our express written permission.

9. Prohibited Uses

You agree not to:

Use the Site or Services for any unlawful purpose.

Attempt to gain unauthorized access to any systems, accounts, or data.

Interfere with or disrupt the operation of the Site or Services.

Use the Site to upload or transmit viruses, malware, or harmful code.

Harass, abuse, or harm other users or Osaze staff.

Use any automated system (such as bots or scrapers) to access the Site in a manner that sends more request messages than a human could reasonably produce.

Misrepresent your identity or affiliation with any person or organization.

We may investigate and take appropriate action (including account suspension or termination) if we believe any conduct violates these Terms or harms Osaze or its users.

10. Third‑Party Services and Links

The Site may include links to third‑party websites, tools, or services (for example, Duda website editor, analytics tools, mapping tools, social media platforms, or payment processors).

We do not control and are not responsible for the content, policies, or practices of these third parties.

Your use of third‑party sites or services is subject to their own terms and privacy policies.

11. Disclaimer of Warranties

The Site and Services are provided on an “as is” and “as available” basis.

To the fullest extent permitted by law, Osaze disclaims all warranties, express or implied, including but not limited to:

Warranties of merchantability, fitness for a particular purpose, and non‑infringement.

Any warranty that the Site or Services will be uninterrupted, error‑free, secure, or free of harmful components.

Any warranty about the accuracy, completeness, or reliability of content or information (including AI‑generated content).

You use the Site and Services at your own risk. For critical business or legal decisions, you should consult appropriate professionals.

12. Limitation of Liability

To the maximum extent permitted by law:

Osaze and its officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, or business interruption, arising out of or related to your use of (or inability to use) the Site or Services.

Our total liability for any claim arising out of or related to the Site or Services will not exceed the greater of:

The amount you paid to us for the specific Service giving rise to the claim in the 3 months before the event; or

One hundred U.S. dollars (US $100).

Some jurisdictions do not allow exclusion or limitation of certain damages, so these limitations may not apply to you in full.

13. Indemnification

You agree to indemnify, defend, and hold harmless Osaze and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to:

Your use of the Site or Services;

Your breach of these Terms; or

Your violation of any law or the rights of any third party.

14. Suspension and Termination

We may, in our discretion and without prior notice:

Suspend or terminate your access to all or part of the Site or Services,

Remove or refuse to publish any User Content,
if we reasonably believe you have violated these Terms, engaged in fraudulent or abusive behavior, or if we need to protect Osaze, our users, or comply with law.

You may stop using the Site or Services at any time. Termination of access will not automatically cancel outstanding payment obligations; see Section 4 for payment and cancellation details.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Georgia, United States, without regard to its conflict of law principles.

Any dispute arising out of or relating to these Terms or the Site/Services will be subject to the exclusive jurisdiction of the state and federal courts located in Georgia, and you consent to the personal jurisdiction of such courts.

16. Changes to These Terms

We may update these Terms from time to time. When we do, we will update the “Last Updated” date at the top of this page.

If we make material changes, we will use reasonable efforts to provide additional notice (for example, by posting a notice on the Site or emailing registered users). Your continued use of the Site or Services after any changes means you accept the updated Terms.
